Terms and Conditions

1.1. "Service" means the THEAX platform in any of its interfaces or channels, including the mobile application, the website, conversational experiences, audio features, planning tools, content, notifications, and any associated functionality we enable.

1.2. "User" means the individual or legal entity that accesses, registers for, or uses the Service.

1.3. "User Content" means any data, text, audio, image, video, response, prompt, instruction, preference, file, material, or information uploaded, submitted, generated, or connected by the User within the Service.

1.4. "AI Output" means any response, suggestion, summary, plan, blueprint, recommendation, classification, transcription, content, or material generated or assisted by automated or artificial intelligence systems within the Service.

1.5. "Credits" means the units of consumption or access that THEAX may allocate to certain plans, trials, promotions, blueprints, projected days, sessions, features, or specific experiences, as indicated in the purchase or usage interface.

2.1. You may use the Service only if you have the legal capacity to contract and to comply with these Terms. Unless THEAX expressly enables a different arrangement with verifiable parental consent and specific controls, the Service is intended for persons eighteen (18) years of age or older.

2.2. If you use the Service on behalf of a company, organization, or team, you represent and warrant that you have sufficient authority to bind that entity and that you accept these Terms on its behalf.

2.3. If you do not accept these Terms, you must not access or use the Service.

3.1. THEAX is a technology-assisted personal execution platform that can help you structure goals, generate blueprints, organize tasks, suggest habits, surface content, and facilitate reflection.

3.2. The Service may include free features, paid features, beta features, features subject to availability, third-party integrations, and modules that apply only to certain users, countries, devices, or plans.

3.3. THEAX may modify, improve, suspend, restrict, replace, or withdraw, in whole or in part, any functionality, flow, criterion, plan, model, technology provider, or module of the Service at any time, always subject to applicable law and to obligations already assumed toward active users.

4.1. You must provide accurate, current, and complete information when registering and keep it reasonably up to date during your use of the Service.

4.2. You are responsible for protecting your credentials, devices, access methods, and any activity carried out from your account. You must notify us without delay if you suspect unauthorized use, improper access, or a security breach.

4.3. You may not create fake accounts, impersonate others, open accounts for third parties without authorization, or create multiple accounts in order to circumvent limits, charges, suspensions, validations, or controls of the Service.

4.4. We may require additional verification of identity, age, eligibility, payment method, company, or legitimate use when reasonable for reasons of security, compliance, fraud, support, payments, or protection of the ecosystem.

5.1. Certain features of the Service require a subscription, one-time purchase, team plan, paid session, credits, or other consideration. Prices, currency, billing frequency, benefits, limits, trials, promotions, and applicable taxes will be shown in the purchase interface or in the corresponding order.

5.2. Unless we expressly state otherwise in writing, Credits are personal, revocable, non-transferable, non-refundable, non-redeemable for money, and have no monetary value outside the Service. Their use, expiration, consumption priority, and functional equivalence are governed by what is shown to the User at the time of allocation or purchase.

5.3. When a plan uses Credits to project days, sessions, blueprints, or other service units, consumption will occur in accordance with the rules visible in the applicable interface. The prior display of a projection, estimate, or recommendation does not constitute a guarantee of results or a permanent reservation of capacity.

5.4. Subscriptions will renew automatically for successive periods equivalent to the contracted period, unless cancelled in advance in accordance with applicable law or the visible cancellation policy. By subscribing, you authorize THEAX and its payment processors to charge the corresponding amount to the registered payment method at each renewal.

5.5. You may cancel future renewal at any time from the available settings or through the channels we indicate. Unless the law requires otherwise, cancellation prevents future charges but does not generate a prorated refund of the period already billed or of usage already consumed. Refunds follow the Refund Policy published at /refund-policy: an automatic window of 7 days with no usage, manual review from 7 to 14 days, and a cap of 1 lifetime refund per account.

5.6. Promotions, free trials, promotional credits, discounts, or temporary benefits may be subject to eligibility, duration, geographic restriction, per-user limit, minimum usage, or any additional condition indicated when activated. We may withdraw or correct promotions applied in error, fraud, abuse, or technical incompatibility.

5.7. You are responsible for any tax, withholding, bank charge, gateway surcharge, currency conversion, or external cost associated with the payment, except where the law provides that THEAX must collect or bear it directly.

5.8. Creator Partner Program. If you participate as a creator (affiliate), the commissions generated by users who use your code are governed by a 14-day holding window from the user payment before becoming available for withdrawal. This window coincides with the close of the user refund window (section 5.5 and /refund-policy), so that any refund requested by the user within their valid period is automatically reversed before the commission becomes withdrawable. Once the commission is withdrawn, the funds belong to the creator definitively: THEAX does not debit or claw back from the creator for subsequent chargebacks (card-network chargebacks, the 60-180 day window regulated by the Visa/Mastercard/Amex networks), since any dispute after day 14 occurs between the user and their issuing bank, not between THEAX and the user. THEAX absorbs the financial cost of those chargebacks as part of operating the platform.

6.1. Subject to these Terms, THEAX grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the Service solely for your internal, personal, or legitimate commercial purposes, according to the contracted plan.

6.2. You acquire no ownership right over the Service, its software, design, logic, prompts, structure, non-public APIs, trademarks, models, datasets, taxonomies, materials, documentation, flows, or any intellectual property component of THEAX or its licensors.

6.3. Except to the extent permitted by mandatory law, you may not copy, resell, sublicense, rent, commercially exploit, decompile, disassemble, reverse engineer, attempt to extract the source code, derive models, recreate databases, replicate interfaces, or build competing products from the Service or its non-public components.

7.1. As between the User and THEAX, the User retains the rights it holds over its User Content. However, by using the Service you grant THEAX a worldwide, limited, revocable to the extent compatible with operating the Service, non-exclusive, and royalty-free license to host, reproduce, transmit, format, transform, index, process, synchronize, and display such content solely to the extent necessary to operate, protect, maintain, improve, and provide the Service in accordance with these Terms and the Privacy Policy.

7.2. You represent and warrant that you have all the rights, permissions, legal bases, and authorizations necessary to upload or use your User Content and that such content does not infringe third-party rights, confidentiality duties, trade secrets, protected data, intellectual property, regulatory standards, or applicable laws.

7.3. You must not introduce into the Service information whose collection or processing is prohibited by law, unlawfully obtained information, third-party credentials without permission, infringing material, spam, malware, dangerous instructions, fraudulent content, or any material whose possession or use is unlawful or unsafe.

7.4. THEAX may withdraw, block, isolate, limit, anonymize, or reject any User Content when reasonably necessary for reasons of security, compliance, protection of third parties, system integrity, investigation, moderation, copyright, legal request, or enforcement of these Terms.

8.1. The Service may use automated models, machine learning systems, recommendation, classification, transcription, synthesis, or content-generation engines to produce AI Outputs and other personalized experiences.

8.2. AI Outputs are provided for informational, organizational, educational, or operational support purposes. They do not by themselves constitute medical, psychiatric, psychological, therapeutic, nutritional, financial, legal, tax, labor, or other licensed professional advice, nor do they replace human judgement, critical review, or independent validation.

8.3. THEAX does not guarantee that AI Outputs are accurate, complete, current, free of bias, suitable for a particular purpose, verifiable, safe for all contexts, or compatible with your specific situation. You are responsible for critically reviewing and evaluating any AI Output before acting on it.

8.4. We may limit, block, or redesign the use of certain AI features; require opt-in; offer private or reduced-retention modes when we indicate them; and apply security controls, abuse monitoring, policy filters, human review, or quality oversight when reasonable to protect users, third parties, and the Service itself.

8.5. You may not use the AI features to generate unlawful, discriminatory, infringing, dangerous, deceptive, abusive, malicious, privacy-invasive, fraud-oriented content, or for impersonation, exploitation, undue manipulation, or any use that violates these Terms or the Service complementary policies.

9.1. You agree to use the Service lawfully, responsibly, and in a manner compatible with its intended purpose. Any use that harms other users, THEAX, partners, or third parties is prohibited.

9.2. Without limiting the foregoing, the following is prohibited: interfering with the operation of the Service; circumventing technical or commercial limits; automating unauthorized access; extracting data at scale; introducing malicious code; testing vulnerabilities without permission; evading suspensions; reselling unauthorized access; abusing promotions; manipulating metrics; using unauthorized payment methods; publishing misleading or defamatory content; or using the Service for illegal, unsafe, or unintended purposes.

9.3. It is also prohibited to use the Service to create or distribute material that infringes copyright, trademarks, trade secrets, image rights, personal data, professional confidentiality, or any other third-party right.

10.1. THEAX is designed as a tool to support personal organization, execution, reflection, learning, non-clinical coaching, and productivity, as applicable. Unless expressly indicated in a separate document and in a regulatorily valid offering, THEAX does not provide medical, mental-health, psychotherapy, clinical nutrition, legal advisory, or professional financial advisory services.

10.2. The Service is not an emergency channel. It must not be used to handle crises, medical emergencies, psychiatric emergencies, situations of imminent danger, or scenarios that require immediate intervention by public services, family members, or licensed professionals.

10.3. If the User decides to act on habits, routines, exercise, nutrition, sleep, personal goals, professional decisions, or any recommendation derived from the Service, they do so under their own judgement and responsibility, considering their personal circumstances and, where appropriate, seeking independent professional advice.

11.1. Each THEAX plan includes a generous usage allowance (blueprints per cycle, regenerations, voice minutes, Smart Feedback conversations, content per activity, documents per message, among others). The specific limits in effect for each plan are shown on the pricing page and in the "My plan and usage" section available within the application.

11.2. To preserve service quality for all users and maintain the platform economic sustainability, THEAX applies a fair-use policy. When a User approaches the intensive-use ceiling of their cycle, the system may gradually activate an "efficient mode" that automatically adjusts the depth of responses, the availability of some premium features (such as extended web searches or TTS voice), or processing priority, without affecting access to the essential features of the product.

11.3. Critical features, namely creating blueprints with available credits, platform support (questions about how to use THEAX, navigation, errors, billing), and checking your own plan, always remain accessible, even under efficient mode. Platform support does not consume the cycle budget and is available to all plans, including the free plan, with no restrictions for intensive use.

11.4. Efficient mode resets automatically at the start of the next billing cycle. THEAX may communicate intensive-use status through visual notices within the application. The activation, behavior, and thresholds of efficient mode are operational criteria subject to reasonable adjustments; THEAX will endeavor to communicate material changes with sufficient advance notice.

11.5. THEAX may apply additional measures, including temporary limitation, suspension, or human review, in cases of atypical use that suggest abuse, unauthorized automation, scripting, attempts to evade limits through multiple accounts, or any conduct incompatible with normal human use of the Service. Measures will be applied proportionately and, where applicable, with the User right to review.

11.6. Blueprints, regenerations, and other resources allocated to a cycle do NOT carry over between cycles. When changing plans (upgrade or downgrade), the resources of the new plan apply from the start of the next billing cycle, and unused resources from the previous plan are neither transferred nor refunded.

12.1. You agree to receive electronic communications related to your account, security, activity, billing, renewals, Service changes, reminders, support, operations, sessions, compliance, and contractual documentation, by email, push notifications, in-app messages, SMS, or other channels enabled by you or by your account settings.

12.2. You are responsible for keeping your contact details up to date and for reviewing the communications sent by THEAX. Electronic notifications will take effect when they are sent or made available in the corresponding interface, as permitted by applicable law.

12.3. Promotional communications will be subject to your preferences and applicable law; nonetheless, we may continue to send you transactional, operational, security, legal, or Service-related communications as long as you maintain an account or a current contractual relationship exists.

13.1. The Service may integrate with payment processors, AI providers, video platforms, calendars, messaging, storage, authentication, analytics, content, voice, health, productivity, or other third-party services.

13.2. The use of third-party integrations or links may additionally be subject to the terms, policies, and practices of those third parties. THEAX does not control and assumes no responsibility for external services, except for the obligations the law imposes directly on THEAX for its own conduct.

13.3. We may change provider, suspend integrations, or adjust the scope of an integration at any time for operational, legal, commercial, security, cost, quality, or availability reasons.

14.1. The processing of personal data by THEAX is governed by the current Privacy Policy and by any addendum or data processing agreement applicable to enterprise customers, teams, or regulated environments.

14.2. THEAX will implement reasonable and appropriate technical, administrative, and organizational measures to protect the confidentiality, integrity, and availability of the Service and of the data under its control. However, no system is completely infallible or immune to improper access, security incidents, third-party failures, loss of connectivity, software vulnerabilities, or force majeure events.

14.3. The User is also responsible for their own operational security, including the safekeeping of passwords, devices, connected accounts, granted permissions, networks used, and review of the data they choose to introduce into the Service.

14.4. If the THEAX offering includes an enterprise framework, DPA, confidentiality agreements, security annexes, retention controls, or data residency, those documents will supplement these Terms and will prevail in the event of conflict regarding their specific subject matter.

15.1. THEAX, the Service, and all of its elements, including software, interfaces, designs, flows, prompts, trademarks, trade names, documents, databases, proprietary content, ranking criteria, architecture, know-how, derived models, documentation, and associated materials, are the property of THEAX or its licensors and are protected by intellectual property and unfair competition laws.

15.2. Nothing in these Terms transfers to the User ownership of THEAX intellectual property rights. Any right not expressly granted is reserved.

15.3. If you provide comments, ideas, suggestions, improvement proposals, or feedback about the Service, THEAX may use, implement, modify, and exploit them without restriction or obligation to compensate, unless mandatory law provides otherwise.

16.1. We may offer beta features, pilots, limited trials, early experiences, or experimental tools. Such features may contain errors, limitations, frequent changes, incomplete metrics, partial documentation, or restricted availability.

16.2. Unless we expressly state otherwise, beta features are offered "as is", may be withdrawn at any time, and may not be covered by the same levels of support, continuity, or accuracy as the general features of the Service.

17.1. THEAX may, with or without prior notice as permitted by law and depending on the level of urgency, suspend, limit, freeze, moderate, block, or terminate accounts, content, sessions, pending charges, credits, reservations, access, or integrations when it reasonably detects or suspects: breach of these Terms; fraud; abuse; security risk; illegal activity; harm to third parties; payment dispute; unauthorized use; legal requirement; or critical operational need.

17.2. The User may stop using the Service at any time and, where applicable, request the closure of their account in accordance with the Privacy Policy and the rules of the contracted plan. Termination does not extinguish obligations accrued beforehand, including payments due, usage restrictions, confidentiality, intellectual property, limitations of liability, non-circumvention, and indemnification.

17.3. We may retain or isolate certain data, records, invoices, histories, logs, compliance evidence, payment information, or backups when necessary for legal, regulatory, accounting, anti-fraud, security, investigation, or dispute-resolution reasons.

18.1. To the maximum extent permitted by law, the Service is provided "as is", "as available", and with all its limitations. THEAX offers no express, implied, statutory, or other warranties regarding the Service, including warranties of merchantability, fitness for a particular purpose, accuracy, continuity, availability, non-infringement, compatibility, expected results, or absence of errors.

18.2. THEAX does not guarantee that the Service will operate without interruptions, delays, errors, vulnerabilities, incompatibilities, data loss, provider changes, third-party failures, regulatory events, platform blocks, connectivity outages, or acts of third parties.

18.3. Without limiting the foregoing, THEAX does not guarantee personal, professional, productivity, wellbeing, learning, adherence, income, transformation, habit, performance, hiring, or goal-progress results, blueprint success, or uniform quality of content or automated outputs.

19.1. To the maximum extent permitted by law, THEAX, its affiliates, officers, employees, contractors, licensors, providers, and partners will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, nor for loss of income, profits, savings, data, reputation, opportunities, business, or operational interruption arising from or related to the Service, even if advised of the possibility of such damages.

19.2. To the maximum extent permitted by law, THEAX total cumulative liability arising from or related to these Terms or the Service will not exceed the amount actually paid by the User to THEAX during the six (6) months prior to the event that gave rise to the claim, or one hundred US dollars (USD 100), whichever is greater, unless mandatory law provides otherwise.

19.3. The foregoing limitations do not exclude liability to the extent such exclusion is prohibited by law, including cases that cannot be contractually limited under mandatory consumer rules, willful misconduct, or non-waivable liability.

20.1. You agree to defend, indemnify, and hold harmless THEAX, its affiliates, officers, employees, contractors, providers, and licensors from any claim, action, investigation, damage, loss, fine, penalty, cost, or expense (including reasonable attorneys fees) arising from or related to: your use of the Service; your User Content; your breach of these Terms; your violation of third-party rights; your misuse of AI features; or your breach of applicable laws.

21.1. These Terms will be governed by the laws of the State of Delaware, United States, without prejudice to mandatory consumer-protection rules applicable in your place of residence and unless THEAX expressly identifies another contracting entity or jurisdiction in the corresponding contracting flow.

21.2. Before initiating a formal claim, the parties will attempt to resolve the dispute in good faith through written notice and an informal period of at least thirty (30) days, unless the law or injunctive urgency justifies acting sooner.

21.3. To the maximum extent permitted by law, any dispute not resolved informally will be submitted to binding individual arbitration administered by a reasonable arbitral institution designated by THEAX in the applicable procedural documentation, with both parties waiving trial by jury and participation in class or representative actions, except to the extent such waiver is prohibited by law.

21.4. Nothing in the foregoing will prevent THEAX from seeking injunctive, equitable, or equivalent measures before competent courts to protect intellectual property, data, security, trade secrets, collections, or compliance with usage restrictions.

22.1. THEAX may modify these Terms to reflect changes to the Service, legal requirements, security risks, commercial structure, AI functionalities, marketplace, payments, providers, or operational practices.

22.2. When a modification is material, THEAX will endeavor to communicate it by reasonable means, such as in-app notice, email, checkout, a visible update on the site, or the last-updated date. Unless the law requires otherwise, continued use of the Service after the updated Terms take effect constitutes acceptance of the modified version.

22.3. If you do not accept a material modification, you must stop using the Service and cancel, where applicable, the future renewal of your plan.

23.1. These Terms are supplemented, where applicable, by the Privacy Policy, the Subscriptions and Refunds Policy, the community rules, the AI terms, the enterprise terms, the DPA, the purchase order, or any additional document shown or accepted by the User for a specific functionality. In the event of conflict, the more specific document will prevail regarding its subject matter.

23.2. You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of THEAX. THEAX may assign or transfer these Terms, in whole or in part, to an affiliate, successor, acquirer, or in the context of a reorganization, financing, asset sale, or corporate transaction.

23.3. If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions will remain in effect and the affected provision will be interpreted to the maximum extent permitted to reflect its original purpose.

23.4. The failure or delay by THEAX in exercising any right will not constitute a waiver. The rights and remedies set out in these Terms are cumulative and do not exclude other rights or remedies available at law or in equity.

23.5. Provisions that by their nature must survive termination, including intellectual property, usage limits, accrued payments, non-circumvention, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution, will continue in effect after the end of the contractual relationship.

24.1. For legal, operational, or contractual inquiries related to these Terms, the User may use the support or legal contact channels that THEAX publishes in the application, website, checkout, or current corporate documentation.
